These Terms of Service (these “Terms”) govern your use of the Frontier Biomed website at frontierbiomed.com, the provider and partner portals, and related services (together, the “Platform”), which are operated by Frontier Biomed LLC (“Frontier,” “we,” “us” or “our”). By checking the box at sign-up, creating an account, or otherwise using the Platform, you agree to these Terms and to our Privacy Policy. If you use the Platform on behalf of a practice or company, you agree on its behalf and confirm that you are authorized to do so. Section 15 requires individual arbitration of disputes and waives class actions.

Who the Platform is for

1.1 The Platform is a business-to-business service for licensed healthcare providers and their practices, and for approved business partners. It is not intended for consumers, and we do not sell to them. At an approved provider’s direction, we may ship the provider’s order to a recipient the provider designates.

1.2 You must be at least 18 years old and located in the United States to use the Platform. To order Products, you must hold a provider account that we have approved and you must have signed our Provider Agreement. To participate in our partner program, you must have signed our Partner Agreement.

1.3 If you sign a Provider Agreement or Partner Agreement with us and it conflicts with these Terms, that agreement controls.

Accounts

2.1 You will give us accurate, current and complete information when you register and keep it up to date. We may verify your identity, licenses, NPI and tax identification number with the issuing authorities and third-party sources.

2.2 We may approve, refuse, suspend or close any account at our discretion.

2.3 You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly at legal@frontierbiomed.com if you suspect unauthorized use.

Our Products

3.1 Regulatory status. The peptides and other products offered through the Platform (the “Products”) have not been approved, cleared or licensed by the U.S. Food and Drug Administration for any use, are not compounded by a pharmacy, and are not FDA-approved finished drug products. We make no claim that any Product is safe or effective for any use, and nothing on the Platform should be read as such a claim.

3.2 Sold only to licensed providers. We sell Products only to approved provider accounts. Each provider is solely responsible for determining whether its purchase, possession and use of any Product is lawful in its state and appropriate for its intended use, under the terms of its Provider Agreement.

3.3 Product information. Certificates of analysis, specifications and other product information are provided for information only. They are not a warranty that a Product is suitable for any particular use.

Ordering, payment and shipping

4.1 Orders placed by approved providers are governed by the Provider Agreement. In summary: an order is an offer that we may accept or decline; prices are those shown at checkout; payment is due at the time of order through our third-party payment processor; applicable sales and use taxes are added as required by law; and we ship to the provider’s verified practice address or, at the provider’s direction, to a recipient the provider designates.

4.2 We are the seller of each Product sold through the Platform. We may use logistics, warehousing and payment service providers to fulfill and process orders.

4.3 Prices, product availability and the Products we offer may change at any time without notice. We may limit quantities or decline to ship to any state.

No medical advice

5.1 Frontier does not practice medicine and does not provide medical, clinical, legal or regulatory advice. We do not issue treatment guidelines, clinical protocols or dosing protocols.

5.2 Educational content on the Platform, including content from House of Life Sciences, is general information for licensed professionals. It is not a treatment guideline, clinical protocol or dosing protocol, and it is not a substitute for a provider’s independent professional judgment.

5.3 Our personnel, representatives and partners are not authorized to give dosing, reconstitution or administration instructions.

Information about other individuals

6.1 The Platform is not designed to receive health information about any individual.

6.2 The only information about another individual that you may enter is the name, shipping address and telephone number of a recipient you designate, in the order fields for a shipment to that recipient. Do not enter, upload or send health information about any individual (such as a medical condition, a diagnosis or the reason for an order), or any other information that identifies an individual other than you and your staff, through the Platform, including its chat, support and ticketing tools, order notes, forms or file uploads. Describe any issue without identifying the individual.

6.3 We use recipient shipping information only to fulfill, ship, track and support the order and to support recalls and stop-use notices. When we become aware that we have received any other information about an individual that this Section does not permit, we will delete, redact or de-identify it and will not use it for any other purpose. Our systems may do this automatically before the information is stored.

Acceptable use

You will not, and will not let anyone else:

  • buy Products for resale or redistribution, or buy Products if you are not an approved provider;
  • describe any Product as FDA-approved, as a compounded medication, as made in the United States unless its label says so, or as safe or effective for any condition;
  • publish dosing, reconstitution or administration information for any Product, or promote any Product to consumers through affiliates, influencers or paid social media;
  • misrepresent your identity, licenses or practice, or share your account;
  • use the Platform in violation of any law, or to infringe anyone’s rights;
  • copy, scrape, frame, reverse engineer or interfere with the Platform, or attempt to gain unauthorized access to it or to other users’ data; or
  • upload malicious code or content that is unlawful, defamatory or misleading.

Partners

Frontier may compensate independent partners who introduce providers to the Platform. Partners are not Frontier’s agents and cannot make commitments for Frontier.

Communications and electronic records

9.1 You agree to receive communications from us electronically, including by email and through the Platform, and agree that agreements, notices and records we provide electronically satisfy any requirement that they be in writing. Electronic signatures on the Platform are binding.

9.2 We record the version of these Terms, the Provider Agreement or the Partner Agreement that you accept, together with the date and time and your IP address.

9.3 You may opt out of marketing emails at any time by using the unsubscribe link. We will still send account, order and legal notices.

Intellectual property

10.1 The Platform and its content, software, trademarks and logos are owned by Frontier, Frontier Biomed Tech IP LLC or our licensors and are protected by law. We grant you a limited, revocable, non-transferable license to use the Platform for its intended business purpose under these Terms. You may not use our names or logos without our written permission.

10.2 If you send us feedback or suggestions, we may use them without any obligation to you.

Third-party services

The Platform relies on third-party services, such as hosting, electronic signature, payment and logistics providers, and may link to third-party websites. We are not responsible for third-party services or websites, and your use of them may be subject to their terms.

Disclaimers

EXCEPT AS EXPRESSLY STATED IN A SIGNED PROVIDER AGREEMENT, THE PLATFORM, ITS CONTENT AND THE PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND FRONTIER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT ANY PRODUCT IS SAFE, EFFECTIVE OR LAWFUL FOR ANY USE. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FRONTIER, ITS AFFILIATES AND THEIR MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS WILL NOT BE LIABLE FOR ANY LOST PROFITS OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, AND OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS YOU PAID US IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FOR PROVIDERS, THE LIMITATION OF LIABILITY IN THE PROVIDER AGREEMENT APPLIES INSTEAD OF THIS SECTION.

Indemnification

You will defend, indemnify and hold harmless Frontier, its affiliates and their members, managers, officers, employees and agents from all claims, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Platform, your purchase or use of any Product, your breach of these Terms, or your violation of any law or third-party right.

Governing law and disputes

15.1 These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules.

15.2 Any dispute arising out of or relating to these Terms, the Platform or the Products will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in Detroit, Michigan. Claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective or representative proceeding. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect its intellectual property or confidential information.

Suspension and termination

We may suspend or terminate your access to the Platform at any time, including if we believe that continuing presents legal, regulatory, safety, fraud or reputational risk. Sections 3, 5, 6, 10 and 12 through 17 survive termination.

Changes and general terms

17.1 We may update these Terms by posting a new version on the Platform with a new effective date and, for account holders, by notice or by asking you to accept the new version. Changes apply from the effective date to use of the Platform after that date. A change to Section 15 does not apply to a dispute that arose before the change.

17.2 These Terms, the Privacy Policy and any signed Provider Agreement or Partner Agreement are the entire agreement between you and us about the Platform. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or a successor to our business.
